General

Welcome to the Precision KVB website (the “Site”). These Terms of Use (the “Terms”) create a legal agreement between you (“You”) and Precision KVB (“we”, “us”, or “our”).

This Site is a copyrighted work belonging to Precision KVB. Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted in connection with such features. Your submission of information, including personal data, through or in connection with the Site is governed by our Privacy Policy. All additional terms, guidelines, and rules, including our Privacy Policy and Terms and Conditions of Sale (if applicable), are incorporated by reference into these Terms.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SITE. YOU MUST BE AT LEAST 18 YEARS OLD OR THE LEGAL AGE REQUIRED TO FORM A CONTRACT IN YOUR JURISDICTION.

Our Site, products, and services are intended for business use. We do not target individual consumers using our services for personal or household purposes.

1. Accounts

1.1 Account Creation

To access certain features, you may be required to register for an account (“Account”). You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You may delete your Account at any time by following the instructions on the Site. We reserve the right to suspend or terminate your Account at our discretion.

1.2 Account Responsibilities

You are responsible for safeguarding your login information and for all activity under your Account. You must notify us immediately of any unauthorized use. We are not responsible for any loss or damage arising from your failure to comply with these obligations.

2. Access to the Site

2.1 Restrictions

  • Do not license, sell, rent, lease, transfer, assign, or commercially exploit the Site or its content;
  • Do not modify, reverse engineer, or create derivative works from the Site;
  • Do not access the Site to build a similar or competitive service;
  • Do not reproduce or redistribute content except as permitted by these Terms.

Future updates or new features are subject to these Terms.

2.2 Modifications

We may modify, suspend, or discontinue the Site or any part of it at any time without notice. We will not be liable for any such changes.

2.3 Support

We are under no obligation to provide support or maintenance for the Site.

2.4 Ownership

All intellectual property rights in the Site and its content belong to Precision KVB or its licensors. No rights are granted to you except as expressly set forth in these Terms.

3. User Content

3.1 Definition & Responsibility

“User Content” includes all content submitted or uploaded by you (e.g., profile information, messages, data files, 3D/2D files). You are solely responsible for your User Content, including its accuracy and legality. We are not required to back up or store User Content.

3.2 License

By submitting User Content, you grant Precision KVB a non-exclusive, royalty-free, worldwide, sublicensable license to use, modify, and distribute such content solely for the purpose of operating and improving our services.

3.3 Your Representations

  • You have the authority to agree to these Terms;
  • All information you provide is accurate and lawful;
  • Your User Content complies with all applicable laws and these Terms;
  • You will not:
    • Upload malware or harmful software;
    • Send unsolicited messages or spam;
    • Collect user data without consent;
    • Disrupt the Site or its network;
    • Access unauthorized parts of the Site;
    • Use bots or scripts to automate usage or data collection;
    • Harass or threaten other users;
    • Violate any applicable laws.

3.4. Acceptable Use Policy

The following terms constitute our “Acceptable Use Policy”:

(a)

You will only use the Site in compliance with, and understand and agree with, including making the relevant certifications under, our Precision KVB export control policy (the “Export Control Policy”), as follows:

  1. You understand that Precision KVB does not accept Export Controlled Data. “Export Controlled Data” is defined as data which is controlled for export under E.U. or U.S. law. Under E.U. law, this includes:
    • Data and/or end Parts controlled under the Common Military List of the European Union or any EU Member State equivalent.
    • Data subject to the EU Dual Use Regulation 428/2009 (as amended by Regulation 2019/2199).
    Under U.S. law, this includes:
    • Technical data and/or end Parts controlled under the International Traffic in Arms Regulations (ITAR).
    • Technical data subject to the Export Administration Regulations (EAR), and controlled at any level beyond EAR99.
  2. You certify that your data (including 3D CAD data and drawings) and/or your order does not include Export Controlled Data.
  3. You understand that by uploading your data to the Site, you are exporting data to another country. Precision KVB maintains operations and partnerships abroad.
  4. You certify that it is your responsibility to determine and provide the appropriate export ification and to comply with the prohibition on Export Controlled Data.
  5. You represent and warrant that production, shipping, and use of goods or tooling in response to your order does not violate any export control laws or regulations.
  6. You will not sell, export, transfer, or dispose of any technology or product received from Precision KVB in violation of applicable laws.
  7. You may not use the Site if you are subject to sanctions under U.S., E.U., or other applicable laws.

(b)

You further represent and warrant that your use of the Site complies with our Content Policy. Your content and/or order:

  • Does not include weapons, including firearms, bladed weapons, explosives, toy guns, or weapon accessories.
  • Does not violate or infringe any intellectual property or third-party rights.
  • Does not include offensive, harassing, or discriminatory information.
  • Will not be implanted in the human body.
  • Is not in violation of any applicable law or our Export Control Policy.

3.5. Please be informed that uploading content to print a firearm may be punishable by law. Precision KVB may have a legal obligation to report such activity.

IF YOU HAVE ANY DOUBT WHETHER YOUR USE OF THE SITE IS PERMITTED, DO NOT USE THE SITE OR UPLOAD YOUR DATA.

3.6. Enforcement

We reserve the right (but not the obligation) to review content and take action, including removing content, terminating accounts, or reporting to authorities, if you violate these terms.

3.7. Feedback

Any feedback provided becomes our property, and we may use it freely. Do not submit confidential or proprietary feedback.

4. Third-Party Links & Ads

4.1. Third-Party Links & Ads

The Site may display links or ads from third parties. These are not under our control. You use them at your own risk.

4.2. Release

You release and discharge Precision KVB from any claims arising from the use of third-party links or ads. If you are a California resident, you waive California Civil Code Section 1542.

5. Indemnification

You agree to indemnify Precision KVB and its affiliates, contractors, and partners against claims and liabilities arising from your use of the Site or content.

6. Disclaimers

6.1

The Site and services are for general information and do not constitute advice.

6.2

The Site is provided as is and as available. We disclaim all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement. Your use of the Site is at your sole risk.

7. Limitation on Liability

7.1

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND SUBJECT TO THE FINAL PARAGRAPH OF THIS SECTION, IN NO EVENT SHALL PRECISION KVB (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CLAIMS, ACTIONS, INJURY, LOSS OR DAMAGE OF ANY KIND, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY OR DEATH, LOST PROFITS, LOST DATA, LOST INCOME, LOSS OR DAMAGE TO PROPERTY, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY DIRECT OR INDIRECT, COMPENSATORY, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO:

  1. THESE TERMS;
  2. YOUR USE OF, OR INABILITY TO USE, THE SITE – INCLUDING BUT NOT LIMITED TO – DAMAGES CAUSED BY MALWARE, VIRUSES OR ANY INCORRECTNESS OR INCOMPLETENESS OF THE INFORMATION OR THE SITE;
  3. YOUR USE OF, OR INABILITY TO USE, ELECTRONIC MEANS OF COMMUNICATION WITH THIS SITE – INCLUDING BUT NOT LIMITED TO – DAMAGES RESULTING FROM FAILURE OR DELAY IN DELIVERY OF ELECTRONIC COMMUNICATIONS, INTERCEPTION OR MANIPULATION OF ELECTRONIC COMMUNICATIONS BY THIRD PARTIES OR BY COMPUTER PROGRAMS USED FOR ELECTRONIC COMMUNICATIONS AND TRANSMISSION OF VIRUSES;
  4. CLAIMS OF THIRD PARTIES;

IN EACH CASE WHETHER IN AN ACTION OF CONTRACT OR TORTIOUS ACTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF THE AMOUNT PAID BY YOU TO US UNDER THE ORDER UNDER WHICH THE LIABILITY AROSE. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS.

7.3

THE EXCLUSIONS IN THIS SECTION SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUT PRECISION KVB DOES NOT EXCLUDE ANY LIABILITY WHICH MAY NOT BE EXCLUDED BY LAW.

8. Term and Termination

8.1

Subject to this Section, these Terms will remain in full force and effect while You use the Site. We may suspend or terminate Your rights to use the Site (including Your Account) at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms. Upon termination of Your rights under these Terms, Your Account and right to access and use the Site will terminate immediately. You understand that any termination of Your Account may involve deletion of Your User Content associated with Your Account from our live databases. Precision KVB will not have any liability whatsoever to You for any termination of Your rights under these Terms, including for termination of Your Account or deletion of Your User Content. Even after Your rights under these Terms are terminated, the following provisions of these Terms will remain in effect: Sections 2 through 9.

8.2. Miscellaneous Changes

These Terms are subject to occasional revision. If we make any substantial changes, we may notify You by sending You an e-mail to the last e-mail address You provided to us (if any), and/or by prominently posting notice of the changes on our Site. You are responsible for providing us with Your most current e-mail address. In the event that the last e-mail address that You have provided us is not valid, or for any reason is not capable of delivering the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice. These changes will be effective immediately for new users of our Site. Continued use of our Site following notice of such changes shall indicate Your acknowledgement and agreement to be bound by the new terms. If You are not a new user and/or do not use our Site for thirty (30) calendar days following our dispatch of an email or posting of changes, the expiration of the thirty (30) days will indicate Your acceptance of the changes.

8.3. Disclosures

We are located at the addresses listed in these Terms.

8.4. Electronic Communications

The communications between You and us use electronic means. For contractual purposes, You: (a) consent to receive communications from us in an electronic form; and (b) agree that all terms, notices, disclosures, and other communications provided electronically satisfy any legal requirements as if in writing. The foregoing does not affect Your non-waivable rights.

8.5. Entire Agreement

These Terms, together with the Terms and Conditions of Sale (if You place an Order) and Privacy Policy, constitute the entire agreement between You and Precision KVB regarding the use of the Site and/or any Orders.

8.6. Waiver

A waiver by us of any right or remedy under these Terms shall only be effective if in writing and signed by our authorized representative. No failure or delay in exercising any right or remedy shall constitute a waiver, nor shall any single or partial exercise preclude further exercise.

8.7. Headings and Interpretation

Section titles are for convenience only and have no legal effect. The word “including” means “including without limitation.”

8.8. Consumer Prohibition

If these Terms are used with a consumer (contrary to their intended use with professionals), consumer rights under applicable law will apply. Orders are made to order and therefore no statutory right of withdrawal applies.

8.9. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect, and the invalid part will be modified to be valid to the maximum extent permitted by law.

8.10. Assignment

You may not assign or transfer these Terms without prior written consent. Precision KVB may freely assign these Terms. These Terms shall bind and benefit the parties and their permitted successors and assigns.

8.11. Non-exclusivity

The contractual relationship is non-exclusive. Precision KVB is free to work with other parties, including those with similar or competing products or services.

8.12. Governing Law and Exclusive Forum

The laws of the State of Delaware apply if You access the Site in the U.S., and the laws of the Netherlands apply if accessed elsewhere. The UN Convention on Contracts for the International Sale of Goods does not apply. Legal disputes will be resolved in New Castle County, Delaware (U.S.) or Amsterdam, The Netherlands, depending on Your access location. Both parties waive any jurisdictional or venue objections.
